COMMERCIAL LEGAL GOVERNANCE

General Terms of Trade & Carriage

Governing standard for all Proforma Invoices (PI), Sales Contracts (SPA), and Bills of Lading • Est. Nov 01, 2021

01.Scope & Binding Contractual Instruments

These Terms of Trade govern all commercial transactions, quotations, Soft Corporate Offers (SCO), Proforma Invoices (PI), and Sales & Purchase Agreements (SPA) issued by Tarafour Trading. Any purchase order issued by a buyer implies complete and irrevocable acceptance of these terms, superseding any conflicting purchasing conditions.

02.Incoterms 2020 & Risk Transfer

Unless expressly agreed otherwise in a signed contract, all trade transactions are conducted under the international rules of Incoterms® 2020 published by the International Chamber of Commerce (ICC):

  • CIF (Cost, Insurance and Freight): Risk transfers to the buyer upon goods being loaded clean on board the ocean vessel at the loading terminal. Tarafour procures marine cargo insurance under Institute Cargo Clauses (A) 'All Risks' for 110% of invoice value.
  • FOB (Free on Board): Risk passes when goods cross the vessel's rail at the nominated port of origin. Buyer is solely responsible for freight booking and destination import clearances.
  • CFR (Cost and Freight): Freight is prepaid to destination port; marine cargo insurance remains the sole responsibility of the buyer.

03.Payment Terms & Documentary Credit (UCP 600)

All high-value bulk consignments are structured through 100% Irrevocable, Confirmed Letters of Credit at Sight (DLC) issued by a prime Top-50 global bank. All documentary credits are subject to the Uniform Customs and Practice for Documentary Credits (UCP 600). Payment release occurs upon presentation of standard clean shipping documents (Full set 3/3 Ocean Bills of Lading, Commercial Invoice, Certificate of Origin, and SGS/BV Inspection Certificate).

04.Inspection, Quantity & Quality Assays

Quality, net weight, packaging, and temperature compliance are audited prior to loading by independent international surveyors (SGS, Bureau Veritas, or Cotecna). The inspection certificate issued at the loading terminal shall be final and binding for both buyer and seller with respect to specifications, count, and weight.

05.Cold-Chain & Reefer Telemetry Standards

For refrigerated cargo (frozen poultry, mutton, and fresh produce), cargo is guaranteed blast-frozen and stowed in -18°C refrigerated containers equipped with automated satellite loggers. The buyer must clear goods promptly upon berth arrival. Tarafour accepts no demurrage or port storage liability caused by customs delays at the destination discharge port.

06.Arbitration & Governing Law

Any dispute arising from or related to a Tarafour contract shall be settled amicably within 30 days. Failing settlement, disputes shall be referred to and finally resolved by international maritime arbitration under the rules of the London Court of International Arbitration (LCIA) or the Dubai International Arbitration Centre (DIAC).
